Financing
We work closely with numerous lenders in drafting and negotiating loan documents, reviewing title, and protecting lenders. We regularly represent lenders in traditional acquisition financing, construction financing, and re-financing. We also act as local counsel to out-of-state borrowers.
Leases
We draft, review, and negotiate leases for retail, office, industrial, and medical space for both tenants and landlords. We also represent clients in negotiating ground leases, including those for restaurants, offices,and cell tower operators.
Development
We advise retail, residential, and office developers in purchase and sale agreements, title issues, construction contracts, and construction financing. We advise clients in land assemblages, forming associations for residential subdivisions, and drafting and negotiating easement and operating agreements for commercial centers.
Corporate Transactions
We assist clients in entity formation, drafting operating documents, and other governing documents. We also regularly advise clients with asset purchase agreements and general commercial transactions.
Distressed Assets
We have significant experience working with lenders in managing distressed commercial assets, including loan modifications, forbearance, and foreclosure.
